Clear rules for permissioned knowledge.

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and Solimar Group LLC (“Base,” “we,” “us,” or “our”). By using createbases.com, the Base application, or a Base AI connection, you agree to these Terms and our Privacy Policy.

If you use Base for an organization, you represent that you have authority to accept these Terms for that organization. You must be at least 13 years old and legally able to enter this agreement.

2. The service

Base turns collections of documents into permissioned knowledge Bases with extracted text, summaries, entities, claims, relationships, timelines, citations, and sharing controls. Base may also let you reach that content through compatible AI clients after authorization.

Features may change as we improve the service. We may impose reasonable usage limits, prevent abuse, or suspend functionality to protect users and the service.

3. Accounts and security

You are responsible for your account, the email address used to sign in, the people you invite, and activity performed through your authorized connections. Keep share links and access credentials confidential. Promptly revoke access and contact us if you suspect unauthorized use.

4. Your content

You retain your rights in content you upload. You give Base a limited permission to host, copy, parse, transform, index, and transmit that content only as needed to operate, secure, and support the service and carry out your instructions.

You represent that you have the rights and permissions needed to upload, process, and share your content. Do not upload payment-card data, passwords or authentication secrets, government identifiers, protected health information, unlawful content, or information you are not authorized to use with an AI-assisted service.

5. Sharing and AI connections

You control who can reach a Base and whether downloads or external-AI access are allowed. Anyone who receives an active open link may be able to access the information permitted by that link. Review the Base, its permissions, and its recipients before sharing.

An AI client receives Base content only after authorization and only within the scopes and accounts you approve. AI-client providers apply their own terms and privacy practices. You can revoke connections, pause sharing, or delete a Base, but recipients may retain copies they previously downloaded or otherwise lawfully received.

6. Acceptable use

You may not use Base to:

• Break the law, infringe rights, deceive people, or facilitate fraud or harm.
• Upload malware, bypass access controls, probe other accounts, or disrupt the service.
• Scrape or access third-party services without authorization.
• Reverse engineer the service except where applicable law expressly allows it.
• Use Base for high-risk automated decisions without appropriate human review.
• Misrepresent AI-generated or extracted material as verified when it has not been checked against its cited sources.

7. AI-assisted results

Extracted facts, summaries, relationships, contradictions, and other AI-assisted results may be incomplete or wrong. Citations help you verify important statements but do not guarantee accuracy. You are responsible for reviewing source material before relying on Base for legal, medical, financial, employment, safety, or other consequential decisions.

8. Paid plans

Paid Base plans are purchased and managed on the Base website, not through an AI client or plugin. Prices, billing periods, included usage, and taxes are shown before checkout. Subscriptions renew automatically for the selected period until canceled. You can cancel through the Base billing page; cancellation normally takes effect at the end of the current paid period. Except where required by law or expressly stated at purchase, fees are non-refundable.

9. Our intellectual property

Base, its software, branding, design, and documentation are owned by Solimar Group LLC or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active; they do not transfer ownership of Base technology.

10. Third-party services

Base relies on third-party infrastructure, email, payment, AI, and client services. We are not responsible for third-party products, and their separate terms may apply. Availability can be affected by those providers.

11. Suspension and termination

You may stop using Base at any time and may request account deletion. We may suspend or terminate access for a material breach, security risk, legal requirement, nonpayment, or conduct that threatens Base or others. When reasonably possible, we will provide notice and an opportunity to address the issue.

12. Disclaimers and liability

To the extent permitted by law, Base is provided “as is” and “as available,” without warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement. Solimar Group LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.

To the extent permitted by law, our aggregate liability arising from Base will not exceed the greater of US$100 or the amount you paid Base during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow these limitations, so they may not apply to you.

13. Governing law and disputes

These Terms and any dispute arising from them or from your use of Base are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Solimar Group LLC agree that the state and federal courts located in the State of New York have exclusive jurisdiction over any dispute, and each of us consents to personal jurisdiction and venue there. Either party may still seek injunctive or other equitable relief in any court with jurisdiction to protect its intellectual property or confidential information.

If you use Base as a consumer, this section does not remove rights you have under the mandatory law of the country where you live, including the right to bring a claim in your local courts where that right cannot be waived.

Before filing a claim, please contact legal@createbases.com and give us 30 days to resolve it. Most disputes can be settled this way.

14. General terms

If a provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, or sale. Our failure to enforce a provision is not a waiver of it. These Terms and the Privacy Policy are the entire agreement about the service unless a separate written agreement applies.
